These Terms of Use govern your access to and use of the websites, online stores, and applications operated by Ghirardelli Chocolate Company, collectively referred to as the Sites. By accessing or using the Sites and the services provided through them, you agree to comply with these terms in full. If you do not agree with any portion of these terms, you should not use the Sites or the related services. The terms form a binding agreement between you and Ghirardelli and include important provisions regarding dispute resolution, use of content, account responsibilities, and limitations of liability.

Ghirardelli may update or revise these terms at any time by posting the updated version on the Sites. Continued use of the Sites following any such updates indicates your acceptance of the changes. The most current version of the Terms of Use on the Sites at the time of your access is the version that governs your use of the Sites and services.

Except for matters eligible for small claims court, all disputes arising from your use of the Sites or the services must be resolved through binding arbitration in California before a neutral arbitrator, in accordance with JAMS rules. Both you and Ghirardelli waive the right to participate in class actions or class arbitrations. Prior to initiating arbitration, the parties must provide written notice and attempt to resolve the dispute within sixty days. Arbitration proceedings are conducted in English, and decisions issued by the arbitrator are final and enforceable in a court of competent jurisdiction. Each party is responsible for its own legal fees, except that individual consumers may be entitled to an in-person hearing in their local area at Ghirardelli’s expense, apart from standard filing fees. Ghirardelli may also seek injunctive relief in California courts if necessary.

All content on the Sites, including text, graphics, images, audio and video materials, software, and other intellectual property, is owned by Ghirardelli or licensed to Ghirardelli and is protected by applicable copyright, trademark, and other proprietary rights. Users are granted a limited, non-exclusive, non-transferable license to access and use the Sites and services for personal, non-commercial purposes only. You agree not to copy, modify, reverse engineer, or use the Sites in ways that violate applicable laws, infringe on the rights of others, interfere with the operation of the Sites, or compromise security. Submissions posted to the Sites are done at your own risk, and by submitting content, you grant Ghirardelli a perpetual, worldwide, royalty-free license to use, distribute, or modify such content.

Purchases made through the Sites are intended for personal use only and may not be resold. Users may be required to create accounts to access certain features, and are responsible for maintaining the confidentiality of their login credentials. Any unauthorized access or use of accounts must be reported immediately to Ghirardelli. Electronic communications sent or received through the Sites are considered legally valid communications.

The Sites and services are provided “as is” without warranties of any kind. Ghirardelli does not guarantee accuracy, reliability, or uninterrupted access and disclaims liability for errors, omissions, or damages arising from use of the Sites. Users agree to indemnify Ghirardelli and its affiliates against claims resulting from violations of these terms, unlawful actions, or user-generated content.

Links to third-party websites are provided for convenience, and Ghirardelli is not responsible for the content or practices of those sites. Third-party content, including submissions, is not endorsed by Ghirardelli, and users assume all responsibility for interactions with such content.

Ghirardelli may suspend, modify, or terminate access to the Sites or services at any time without notice. These Terms of Use constitute the complete agreement regarding your access and use of the Sites and services. Any portion deemed unenforceable will be modified to the extent necessary to remain effective, and all other provisions will continue in full force.
